Terms and Conditions & Print Release

1.) Grant of Rights

The following terms and conditions outline the legally binding agreement between Katie Kiriakos Photography, a brand under W+K Woodworks LLC (hereinafter referred to as "Company") and you (hereinafter referred to as "Client"), regarding the rights to use and reproduce digital images or other artwork provided by the Company. By booking a photography session with the Company and receiving images, the Client agrees to all terms specified below and confirms acceptance of this agreement.

2.) Print Release

This license grants the Client the right to print and display the images for personal use and small business use as defined below in ‘Usage Rights’. The Client may reproduce the images solely for personal enjoyment or small business purposes. Printing may be done through a professional lab or a consumer printer.

3.) Usage Rights

This license grants the right to share digital images for personal and small business use, defined as businesses with fewer than 20 employees or businesses that do not engage in significant commercial advertising.

  • Share digital images (e.g., social media, company website) for promotional purposes directly tied to the Client. Restrictions: Any commercial distribution, sub-licensing, or sale of the images is strictly prohibited unless explicitly agreed upon in writing by the Company. The Client is prohibited from using images for larger-scale commercial purposes unless an additional licensing agreement is established.

4.) Additional Restrictions

The Client agrees not to:

  • Resell, license, sub-license, or transfer the images or any print products to any third party.
  • Edit, alter, or modify the images with the intent to resell in digital or print formats. (Minor edits, such as resizing, applying filters, or making fine art alterations, are acceptable for personal use only.)
  • Use the images in any unlawful, defamatory, or otherwise injurious manner.
  • Use the images in a way that infringes on the intellectual property rights of the Company or any third party.

 5.) Model Release

The Client agrees that the Company may use images from the session for marketing, portfolio, or promotional purposes unless the Client provides written notice to opt-out prior to the session.

6.) Client Conduct During Sessions

The Client agrees to maintain a respectful and cooperative attitude during the photography session. Any disruptive, unsafe, or inappropriate behavior by the Client, Client’s guests, or subjects may result in immediate termination of the session without refund.

7.) Client Responsibility for Photo Download and File Retention

The Client is solely responsible for downloading and securely storing the digital photo package upon receipt. The Company is not liable for re-sending, reproducing, or restoring the photo package should it be lost, deleted, or become otherwise inaccessible by the Client at any time following initial delivery. Note: The Company strongly recommends that the Client back up all digital files to prevent loss or inaccessibility.

8.) Professional Edits and Special Requests

The images provided by the Company include standard editing. Standard editing encompasses adjustments to lighting, color balance, and basic retouching. Special requests, such as airbrushing, head-swapping, custom edits, color changes, or similar advanced modifications, are available at an additional cost. These requests must be agreed upon in writing before any work begins. Rush edits may be available for an additional fee.

9.) Delivered Package and Session Yield

The delivered photo package is not guaranteed to include the advertised number of images if the session does not yield enough suitable material. The Company strives to deliver the highest quality images; however, variables such as tardiness, cooperation of subjects, weather, or other unforeseen factors may affect the final count.

10.) Rescheduling (Weather/Illness)

Clients may reschedule due to weather or illness with a minimum of 72 hours’ notice. The session must be rebooked within 30 days of the original date, subject to photographer availability. If rescheduling does not occur within this window, a new retainer fee will be required to secure a future date.

11.) Payment Terms

All session fees and additional charges (e.g., for travel, special edits, or rush) must be paid in full at the time of the session. Failure to provide full payment at the session may result in delays or withholding of the final images.

12.) No Refunds Policy

All payments are final and non-refundable, including deposits/retainers, session fees, travel expenses, and any additional costs. Refunds will not be provided for no-shows, cancellations, or rescheduling, except as outlined in Section 10. Dissatisfaction with the final product or services does not warrant a refund under any circumstance.

13.) Intellectual Property

All intellectual property rights, including copyright, remain exclusively with the Company. The Client acquires no ownership rights to the images or any associated copyrights, nor do they have the right to reproduce or use the images for any purposes beyond those granted by these Terms.

14.) Provision of Terms

It is the Client's responsibility to review these Terms and Conditions prior to booking and participating in a photography session. By proceeding with the booking, the Client acknowledges that they have had an opportunity to review and understand these Terms. The Company makes these Terms available at the time of booking or upon request. No exceptions will be made if the Client claims not to have received or reviewed these Terms prior.

15.) Force Majeure

The Company shall not be held liable for any failure or delay in performing its obligations under this agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government restrictions, pandemics, equipment failure, or unforeseen circumstances that make the session or delivery of images impossible or impractical.

16.) Indemnification

The Client agrees to indemnify, defend, and hold harmless the Company, its employees, and affiliates from and against any and all claims, liabilities, damages, or expenses, including legal fees, arising from the Client's use of the images in violation of these Terms and Conditions or any third-party rights.

17.) Limitation of Liability

To the fullest extent permitted by law, the Company shall not be held liable for any damages, whether direct or indirect, arising from the Client's use or inability to use the images. This limitation applies to any claims related to file format incompatibility, data loss, or quality issues outside the control of the Company.

18.) Termination and Revocation of Rights

The Company reserves the right to terminate this agreement immediately if the Client is found to be in violation of any terms herein. Upon termination, the Client will be notified in writing, and all rights granted to the Client under this agreement shall cease. The Client must immediately discontinue all use of the images. The Company also reserves the right to revoke specific usage rights if unauthorized use is identified.

19. ) Governing Law and Jurisdiction

This agreement shall be governed by the laws of the state of Missouri, USA, without regard to its conflict of laws principles. The Client agrees that any disputes arising from this agreement will be resolved exclusively in the courts located in Missouri, USA.

20.) Entire Agreement

This agreement constitutes the entire understanding between the Company and the Client concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, or discussions. Any modifications to this agreement must be made in writing and signed by both parties.

21.) Agreement

By payment of any session fees, confirming a booking, receiving images, or using the images, the Client agrees to abide by these Terms and Conditions and acknowledges that they have read, understood, and agreed to all the terms outlined in this legally binding agreement. These Terms apply to all photography sessions booked with the Company, including those that have already taken place, unless otherwise specified in writing at the time of the session.

22.) Update of Terms

The Company reserves the right to update or modify these Terms and Conditions at any time. Such modifications will be provided upon written request or via email and will apply to any future sessions booked after the date of modification. The Client is responsible for requesting and reviewing these Terms prior to booking any new session to ensure they are aware of the latest updates.
